1. Acceptance of Terms
Welcome to Preemptive. These Terms of Service ("Terms") govern your access to and use of our websites, applications, and services. By accessing or using Preemptive, you agree to be bound by these Terms. If you do not agree, you may not use our services.
2. Overview of Services
Preemptive operates through a structure designed to support clinical excellence with advanced technology. It is important to understand the distinction between our entities:
- PreemptiveAI, Inc. is a management services organization (MSO). It provides the technology platform, analytics, administrative support, and non-clinical services. It does not practice medicine.
- Preemptive Clinic, P.A. is an independent professional medical corporation. All licensed clinical services, medical decision-making, and professional care are provided exclusively by Preemptive Clinic, P.A. and its qualified clinicians.
These entities work together under a management services agreement to deliver a seamless experience, but the provision of medical care remains the sole responsibility of the Clinic.
3. Medical Services Disclaimer
While our technology provides sophisticated physiological monitoring, PreemptiveAI, Inc. does not provide medical advice or care.
The insights generated by our platform are designed to support, not replace, the relationship between you and your primary care physician or other healthcare providers. Use of the platform does not constitute a replacement for regular medical exams.
In an emergency:
Preemptive is not an emergency response service. If you believe you are experiencing a medical emergency, please call 911 or seek immediate emergency care. Do not rely on Preemptive for acute or urgent medical needs.
4. Eligibility
You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use our services. Our services are currently available only in select jurisdictions within the United States. We reserve the right to limit access to the service based on geography, licensure, or clinical appropriateness.
5. User Responsibilities
To ensure the safety and accuracy of our services, you agree to:
- Provide accurate, current, and complete information during intake and ongoing monitoring.
- Use the service only for lawful, personal purposes.
- Maintain the confidentiality of your account credentials.
- Notify us immediately if you suspect any unauthorized use of your account.
6. Technology & Monitoring Limitations
Our platform utilizes advanced sensing technology and machine learning to detect physiological patterns. While we strive for clinical-grade accuracy, no monitoring system is infallible.
Insights provided by the platform are probabilistic in nature and intended to surface meaningful changes for human review. Factors such as lighting conditions, device capabilities, and user behavior can impact signal quality.
7. Privacy & Data Use
Your privacy is central to our architecture. Our collection, use, and disclosure of personal and health information are governed by our Privacy Policy. We handle your data in accordance with applicable laws, including HIPAA where relevant.
8. Intellectual Property
The Preemptive platform, including its algorithms, software, designs, and content, is the property of PreemptiveAI, Inc. or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the service for your personal care.
9. Termination
We reserve the right to suspend or terminate your access to the service if we believe you have violated these Terms or if our clinical team determines that the service is no longer clinically appropriate for your needs. You may discontinue your use of the service at any time.
10. Disclaimers & Limitation of Liability
The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Preemptive disclaims all warranties, express or implied, regarding the service. We are not liable for any indirect, incidental, or consequential damages arising from your use of the service, except where such liability is mandated by applicable law.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.
